Executive Management
We believe that leadership is a team effort built upon mutual respect and fair treatment along with strong relationships developed through honesty, accountability, and camaraderie. Reliance’s executive leadership team manages operations in alignment with Board established strategy, values, and governance, and is accountable for ethical conduct, internal controls, and disciplined execution.
Board of Directors
Reliance’s Board of Directors is elected by stockholders and meets regularly to provide independent oversight of management.
The Board operates through three standing committees – Audit, Compensation, and Nominating and Governance – each comprised of independent directors and governed by formal charters. Board oversight is guided by the Company’s Principles of Corporate Governance. The Board and its committees conduct annual self-evaluations and regularly review Board composition, succession planning, and director qualifications to support effective oversight and long-term value creation.
Policies, Standards, & Practices
Reliance maintains a companywide ethics and compliance framework that sets clear expectations for ethical conduct, responsible business practices, and compliance with applicable laws and regulations. All directors, officers, and employees are required to comply with Reliance’s ethics policies and applicable legal requirements.
The Code of Conduct and AntiBribery and AntiCorruption Policy are administered upon hire, with periodic compliance training provided to employees and managers. Other key policies include the Human Rights Policy and the Policy on U.S. Political Activity and Spending Practices, enterprise risk oversight and internal controls, executive compensation governance policies such as equity ownership requirements and compensation recovery (clawback) provisions, and robust disclosure and compliance controls
Reliance maintains shareholder rights and engagement practices consistent with applicable laws, listing standards, and governance best practices, as disclosed in the Proxy Statement.
Responsible Sourcing
Reliance is committed to conducting business ethically and responsibly across our supply chain. We expect and require our suppliers to comply with our Supplier Code of Conduct, Human Rights Policy, and our commitment to conflict-free sourcing.
Tax Transparency
We believe in having a positive impact in the communities in which we operate and we support corporate tax laws that incentivize innovation, investment, and job creation. We are committed to paying our taxes on time, in full, in every jurisdiction in which we operate, in a manner that reflects the letter and spirit of the law. As part of our commitment, we do not operate in “tax havens”. We define a “tax haven” as a country imposing no or only nominal taxes; having a lack of effective exchange of information; and having a lack of transparency in the operation of the applicable legislative, legal or administrative provisions.
For fiscal year 2025, our worldwide income tax payments were $163.7 million, and our effective tax rate was 23.5%. Reliance also incurred $161 million in real estate, payroll, franchise, personal property and miscellaneous taxes in 2025.
Ethics & Compliance Hotline
Reliance provides confidential, third-party reporting channels, available 24/7, 365 days a year, for employees and others to raise concerns. Reports may be submitted anonymously where permitted by law and are available in local languages where we do business. Retaliation against anyone who raises a concern in good faith will not be tolerated.
All hotline and web-based reports are administered by the Vice President, Enterprise Risk. The Audit Committee is informed of all reported matters, including those relating to accounting, internal controls, or auditing matters
